Payment Agreement for Subscription Services by AGENCYS.AI

This Agreement is made by and between AGENCYS.AI, herein referred to as the "Provider," and the subscribing entity, herein referred to as the "Agency Owner." The Provider offers a subscription-based service, inclusive of support from VOIZER.AI and AGENCYS.AI, access to future updates, unlimited subaccounts, and a limited number of bots per subaccount. The Agency Owner, by agreeing to this contract, subscribes to these services under the terms and conditions set forth below.
The Agency Owner shall pay a monthly fee of $497 USD for the subscription services. This fee includes a $100 promotional credit for the first 100 agency owners, available for a limited time. All payments are to be made via the Stripe "Buy Now" option, with the billing cycle commencing on the subscription date and continuing on a monthly basis. The Agency Owner authorizes the Provider to charge this fee monthly, and acknowledges that these payments are non-refundable under any circumstances.
For effective provision of support services, the Agency Owner agrees to furnish the Provider with necessary login information for their agency. The Provider assures the Agency Owner that this information will be used strictly for support purposes and will not be utilized for any other form of data processing or dissemination.

AGENCYS.AI, a whitelabel solution of GHL (Go High Level), integrates the VOIZER.AI platform, enabling the Agency Owner to resell these services to their clients. In this capacity, the Agency Owner is required to adhere to a pay-per-use model for the purchase of credits, which will be billed based on actual usage. The Agency Owner is responsible for ensuring that their clients comply with all applicable legal and ethical standards, including government spam laws, A2P verifications, and the Telephone Consumer Protection Act of 1991 (“TCPA”). The Agency Owner will bear all liabilities arising from any non-compliance or illegal activities by their clients, which may result in the immediate termination of this subscription service.
Integration of Third-Party Services:The Agency Owner is solely responsible for connecting their own Twilio account or any other carrier account to the platform provided by AGENCYS.AI. This connection is essential for the functioning of certain services and features. The Agency Owner must ensure that their Twilio or carrier account is properly configured, maintained, and compliant with all relevant terms of service and legal regulations. The Provider is not responsible for any issues, liabilities, or costs associated with the Agency Owner's Twilio or carrier account, including but not limited to service interruptions, data breaches, or non-compliance with third-party terms of service.

In the event of any service interruptions or operational failures, including but not limited to software downtime or the inability of VOIZER.AI to perform its functions, neither the Provider nor its affiliates shall be held liable for any losses, damages, or liabilities incurred as a result. This limitation of liability extends to all aspects of the service provided under this Agreement.
The Provider retains all intellectual property rights associated with the services, granting the Agency Owner a non-exclusive, non-transferable license to use these materials solely in connection with the services provided. Both parties agree to uphold the confidentiality of any proprietary or sensitive information disclosed during the term of this Agreement. Furthermore, the Agency Owner agrees to indemnify and hold harmless the Provider against any claims or damages arising from their use of the services.
This Agreement may be terminated by either party with written notice under specified conditions, including but not limited to breach of terms. Any disputes arising from this Agreement shall be subject to arbitration in the jurisdiction where the Provider is registered. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings. It may only be amended in writing, signed by both parties, and is governed by the laws of the jurisdiction in which the Provider is registered.

By clicking the “Buy Now” option on Stripe and completing the transaction, the Agency Owner signifies their acceptance of and agreement to all terms and conditions outlined in this Agreement.
